Introduction

These Terms of Service ("Terms") govern your access to and use of Composer's software applications (including our desktop application), websites, APIs, and related services (collectively, the "Services") provided by Composer Inc. ("Composer," "we," "us," or "our").

By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Our Privacy Policy describes how we collect, use, and disclose personal information and is incorporated by reference into these Terms.

  • Eligibility: You must be able to form a binding contract and meet any minimum age requirements that apply in your jurisdiction.
  • Your account: You are responsible for your credentials and for activity that occurs under your account.
  • AI outputs: Generated content may be wrong or incomplete. You are responsible for reviewing outputs before relying on them.
  • Acceptable use: You may not misuse the Services, interfere with their operation, or use them for unlawful purposes.

The Services

Composer provides desktop software and related services that help you work with documents, including Markdown, PDF, and DOCX using AI-powered agents and tools. Features may include processing on your device with local models and optional hosted AI models routed through our infrastructure, as described in our Privacy Policy.

Accounts and security

Some features require an account. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for all activity under your account and must notify us promptly of any unauthorized use.

Changes to the Services

We may modify, suspend, or discontinue parts of the Services (including specific models or features) at any time, with or without notice. We are not liable to you for any modification, suspension, or discontinuation. Your continued use after changes become effective constitutes acceptance of the updated Services, except where applicable law requires otherwise.

Acceptable Use

You agree not to, and not to assist others to:

  • Violate any applicable law or infringe the rights of others (including intellectual property and privacy rights).
  • Reverse engineer, decompile, or disassemble the Services except to the extent such restrictions are prohibited by applicable law.
  • Probe, scan, or test the vulnerability of our systems or networks without authorization, or breach security or authentication measures.
  • Interfere with or disrupt the Services or servers or networks connected to the Services (including by overloading or flooding).
  • Use the Services to generate or distribute malware, spam, fraudulent content, or other harmful or deceptive material.
  • Circumvent usage limits, billing mechanisms, or technical protections we employ.

AI Features, Local and Hosted Models

Local processing

When you use local models, your documents, prompts, and model outputs are processed on your device as described in our Privacy Policy. You are responsible for the security of your device and any local data.

Hosted models and third-party providers

If you use hosted models, your prompts and related content may be transmitted through our systems to AI providers to generate responses. Those providers have their own terms and policies. Composer does not use your prompts, documents, attachments, or AI responses to train its own models, as stated in our Privacy Policy.

AI output and reliability

AI-generated content may be inaccurate, incomplete, biased, or unsuitable for your purpose. You are solely responsible for reviewing, verifying, and using outputs. The Services do not provide legal, medical, financial, or other professional advice. Do not rely on the Services as a substitute for qualified professional judgment.

Fees and payment

If you purchase a subscription or other paid feature, the fees, billing cycle, and payment terms presented at checkout (or in your plan documentation) apply. Taxes may be added where required. We may change pricing with reasonable advance notice where required by law.

Refunds, if any, are handled according to the terms shown at purchase or in your subscription settings.

Intellectual property

The Services, including software, branding, documentation, and underlying technology, are owned by Composer and its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the client software for your personal or internal business purposes in accordance with the documentation.

You retain any rights you have in content you create or submit. To operate the Services, you grant Composer a worldwide, non-exclusive license to host, process, transmit, and display your content only as reasonably necessary to provide the Services you request (including routing content to AI providers when you choose hosted models), consistent with our Privacy Policy.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the maximum extent permitted by law.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOSER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPOSER FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID COMPOSER FOR THE SERVICES.

Indemnification

You will defend, indemnify, and hold harmless Composer and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or applicable law.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Services (in whole or in part).

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Services, except where mandatory local consumer laws require otherwise.

International users

If you access the Services from outside the United States, you are responsible for compliance with local laws. We make no representation that the Services are appropriate or available in every jurisdiction.

Changes to these Terms

We may update these Terms from time to time. If a change is material, we will provide reasonable notice (for example, in the application or by email). Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, except where applicable law requires a different process.
